Consequently, we must reserve the right to modify, pause, suspend, or completely discontinue any aspect, feature, or entirety of our services at any given moment, with or without prior notice.

Our services are provided on a strictly "as is" and "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee, represent, or warrant that your use of our service will be completely uninterrupted, exceptionally timely, 100% secure, or entirely error-free.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. In the event of a total service discontinuation affecting a prepaid, long-term subscription, we may, at our sole discretion, offer prorated refunds, but this is not guaranteed unless mandated by prevailing consumer protection laws in your jurisdiction.

4. Intellectual Property, Licensing, and Ownership Rights

The intricate realm of digital creation demands strict guidelines regarding intellectual property (IP). All foundational content included on this site—ranging from textual copy, striking graphics, unique logos, meticulously designed button icons, high-resolution images, compelling audio clips, to underlying code architecture—remains the exclusive property of SystemCore and is protected by comprehensive international copyright laws, trademark laws, and other intellectual property rights.

For Custom Client Work (Design, Editing, Development): Upon the successful completion of a project and our receipt of full and final payment, SystemCore transfers the specific intellectual property rights of the finalized deliverable to you, the client. This means you own the final logo, the final edited video, or the final website codebase. However, SystemCore retains all rights to early drafts, unselected concepts, project files (unless explicitly purchased), and proprietary workflows used to create the deliverables.

Portfolio Rights: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA) executed prior to the commencement of work, SystemCore retains the perpetual, irrevocable right to showcase the finalized deliverables (as well as selected early concepts) in our digital portfolios, social media marketing campaigns, and case studies to demonstrate our capabilities to prospective clients.

5. Stringent User Responsibilities & Acceptable Use Policy

To maintain a safe, professional, and highly effective environment for all our clients and community members, you agree to adhere strictly to our Acceptable Use Policy. As a user of our services, you explicitly agree that you will absolutely not use our platforms, our custom deliverables, or our software for any illegal, unethical, or unauthorized purpose.

You must not, in your use of our services, violate any laws in your local, state, national, or international jurisdiction. This includes a strict prohibition against copyright infringement, patent infringement, trademark violations, or the unauthorized distribution of trade secrets.

Furthermore, you are strictly prohibited from transmitting any malicious software, including worms, viruses, trojan horses, spyware, or any other code of a destructive or intrusive nature. Any attempt to gain unauthorized access to our servers, databases, administrative dashboards, or other clients' accounts will be met with immediate termination of your services and aggressive legal prosecution. A breach or violation of any of the Terms will result in an immediate termination of your Services and potential legal action.

6. Comprehensive Limitation of Liability

The digital landscape is inherently unpredictable. Therefore, to the absolute maximum extent permitted by applicable law, in no event shall SystemCore, its founders, directors, employees, partners, agents, independent contractors, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

This limitation of liability encompasses, but is not limited to, massive loss of profits, loss of critical data, loss of use, loss of goodwill, or other intangible losses, resulting directly or indirectly from your access to, use of, or inability to access or use the services. We shall not be held responsible for extended server downtime, catastrophic data loss, unauthorized access to your accounts by malicious third parties, or breaches resulting from your failure to secure your credentials.

7. Indemnification

You agree to indemnify, defend, and hold completely harmless SystemCore and our parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable, high-tier attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service, your violation of any law, or your infringement upon the rights of a third party.

8. Governing Law, Venue, & Dispute Resolution

These incredibly detailed Terms of Service, along with any separate agreements whereby we provide you Services, shall be governed by and construed strictly in accordance with the laws of the jurisdiction in which SystemCore is legally registered, without regard to its conflict of law provisions.
